Welcome to BizAI Agent Demo ("BizAI GPT", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the services provided through https://bizaigpt.com (the "Site"), including the AI Sales Intelligence Layer for small businesses that automates lead qualification, scheduling, follow-ups, and generates 300 SEO-optimized pages monthly with customized BizAI agents ("Services").

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind such entity to these Terms.

1. Acceptance of Terms

These Terms form a binding legal agreement between you and BizAI Agent LLC, a limited liability company founded on January 1, 2024, with contact at info@bizaigpt.com or +1-555-0123.

We may update these Terms at any time. Continued use of the Services after changes constitutes acceptance of the revised Terms.

2. Description of Services

BizAI GPT provides an AI sales agent system that:

Auto-generates 300 SEO-optimized pages monthly for agencies, ecom stores, SaaS, and service businesses.
Deploys customized BizAI agents on each page to read visitor search intent.
Qualifies leads, captures contacts, scores interactions, and notifies owners instantly.

Services target 24/7 AI sales infrastructure without hiring sales reps. No commissions, infinite scale, compounding SEO results.

3. Eligibility

You must be at least 18 years old and legally capable of entering contracts. Businesses must be duly organized and validly existing.

We reserve the right to refuse or terminate access to anyone at our discretion.

4. Accounts and Registration

To access certain Services, you must create an account. You agree to:

Provide accurate, current information.
Maintain the security of your account credentials.
Notify us immediately of any unauthorized use.

You are responsible for all activities under your account.

5. Fees and Payment

Services may require payment. All fees are non-refundable except as specified. We reserve the right to change pricing with notice.

Payments are processed securely. Late payments accrue interest at 1.5% per month.

6. Intellectual Property

Our IP: All rights, title, and interest in the Services, Site, AI models, generated pages, BizAI agents, and related technology belong to BizAI Agent LLC. You receive no ownership rights.

Your Content: You retain rights to content you provide ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, and modify it for providing Services.

Generated SEO pages and BizAI agents are licensed to you non-exclusively during your subscription.

7. User Conduct and Prohibited Activities

You agree not to:

Use Services for illegal purposes.
Reverse engineer, decompile, or disassemble AI agents or software.
Upload viruses, malware, or harmful code.
Interfere with Service operation or other users.
Use Services to spam, harass, or impersonate others.
Scrape or extract data systematically.

We may suspend or terminate accounts for violations.

8. AI-Generated Content

BizAI agents generate content based on inputs. Outputs may contain errors, biases, or inaccuracies. You are responsible for reviewing and verifying all generated pages, leads, and interactions.

We do not guarantee SEO rankings, lead quality, or conversion rates.

9. Privacy

Your privacy is governed by our Privacy Policy, incorporated herein by reference.

10. Termination

We may terminate or suspend Services for any reason, including non-payment or violation of Terms, with or without notice.

Upon termination, your access ends, and you must cease using generated materials except as licensed.

11. Disclaimers

AS IS BASIS: Services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for purpose, or non-infringement.

We do not warrant uninterrupted, secure, or error-free operation. AI outputs may not meet expectations.

12. Limitation of Liability

To the maximum extent permitted by law:

BizAI Agent LLC, its founders (including Lucas Correia), affiliates, and agents shall not be liable for indirect, incidental, consequential, special, or punitive damages.
Total liability shall not exceed fees paid by you in the prior 12 months.

You indemnify us against claims arising from your User Content or use of Services.

13. Governing Law and Disputes

These Terms are governed by the laws of [Delaware, USA], without regard to conflict of laws principles.

Any disputes shall be resolved exclusively in the state or federal courts of Delaware. You waive jury trial rights.

14. Force Majeure

We are not liable for delays or failures due to events beyond our control, including natural disasters, wars, or internet outages.

Entire Agreement: These Terms constitute the full agreement.

Severability: Invalid provisions do not affect remaining Terms.

No Waiver: Failure to enforce does not waive rights.
